ELIGIBILITY

The Contest is open to all residents of Canada who have reached the age of majority in their province or territory of residence as of January 7, 2008, excluding employees, representatives and agents of the Sponsors, their parent, related and affiliated companies, subsidiaries, advertising, promotional agencies and all those living in the same household of such individuals. Winner's travelling companion must also be a resident of Canada and have reached the age of majority in his or her province or territory of residence as of January 7, 2008.

CONTEST CLOSING DATE

Entries must be received by W Network no later than 9:59 a.m. ET on Monday, January 21, 2008 (the "Contest Closing Date").

GRAND PRIZE PACKAGE

There is One (1) Grand Prize Package available to be won. The Grand Prize Package consists of:

1. One (1) round trip economy airfare for two (2) adults from the Canadian international airport closest to the declared winner's place of residence to the Iberostar Rose Hall Beach, Montego Bay, Jamaica for Seven (7) days;
2. Six (6) nights standard accommodation based on double occupancy at the Iberostar Rose Hall, Montego Bay; and
3. All Inclusive Meal Plan for the declared winner and his/her travelling companion during their Seven (7) day stay at the Iberostar Rose Hall, Montego Bay, Jamaica. The plan includes Three (3) meals daily, plus snacks, and all drinks (domestic brands, domestic beer and house wine).

NOTE: It is the responsibility of the declared winner and his/her travelling companion to provide for any additional expenses not included in the Grand Prize Package as described herein, including, but not limited to, meals, travel insurance, health insurance, inflight meals and beverages, gratuities, in-room movies, taxis, transportation to and from the declared winner's home and the major international airport nearest his/her Canadian residence, transportation to and from Airport and hotel and in destination activities.

Approximate retail value of the Grand Prize Package is Five Thousand Four Hundred and Ninety Eight Canadian Dollars ($5,498. CDN) based on a Toronto flight origin. The approximate retail value of the Grand Prize is dependent on the actual departure and destination locations.

The Grand Prize Package as described is subject to availability, may not be exchanged for cash, is non-refundable, non-salable, non-transferable, must be accepted as awarded and must be used on the dates specified by the Sponsors. Absolutely no changes are permitted once the declared winner has submitted the names of the Grand Prize participants and their travel booking information to W Network. At their sole discretion, the Sponsors reserve the right to substitute the resort and destination city with a vacation package of equal or greater retail value. At their sole discretion, the Sponsors reserve the right to substitute any portion of the Grand Prize Package with a prize of equivalent or greater retail value.

NOTE: Declared winner and travelling companion shall be responsible for all travel and medical insurance, ground transportation to and from the airports in Canada and Jamaica, gratuities, in flight meals, in flight beverages, applicable taxes (including Airport Improvement TaxesAll. taxes (including but not limited to departure taxes,) and other assessments are the sole responsibility of the winner. If a minor is to be a travelling companion of a contest winner, the applicable liability/publicity release should be signed by the minor's parent or legal guardian (in addition to all the required travel documentation transfers, incidentals and any and all other expenses not specified in the description of the Grand Prize Package. The departure flight shall be from the international airport located closest to the declared winner's home. Declared winner and travelling companion must travel together and depart from the same location. Declared winner and travelling companion are responsible for ensuring that all travel papers (passports, visas, etc.) are in good order and are valid prior to and for the entire duration of the Grand Prize trip. All documentation required for redemption of the Grand Prize Package will be sent via courier directly to the winner's home only after s/he has met the requirements to be declared a winner outlined in the Contest Rules and Regulations, as described below, to the satisfaction of the Sponsors, and all required documentation from the winner and his or her travelling companion has been received by W Network.

GRAND PRIZE DRAW

A random draw for the Grand Prize Package will be made by W Network judges, at the W Network offices at 72 Fraser Avenue, Suite 200 in Toronto, Ontario, M6K 3J7 on Wednesday January 23rd, 2008, at approximately 2:00 p.m. ET from all eligible entries received during the Contest Period. Attempts will be made to contact the selected entrant by telephone within Five (5) business days of the draw. In order to be declared the winner of the Grand Prize Package, the selected entrant will be required to correctly answer a mathematical skill testing question without assistance or mechanical or electronic aid, sign and return the official Declaration and Release Form and have his or her travelling companion sign and return the Companion Release Form confirming compliance with the Contest Rules and Regulations, releasing the Sponsors from all liability related to the Grand Prize, and confirming acceptance of the Grand Prize Package as awarded. The Grand Prize Package will be delivered only to the declared winner. If the selected entrant fails to sign and return the Declaration and Release Form within Twenty (20) days of notification of his/her selection, or within such later period of time, if any, as may be permitted by the Sponsors, in their sole and absolute discretion, the selected entrant will be disqualified, his/her entry will be declared null and void and the Sponsors reserve the right to select at random another eligible entry, in which event, the foregoing provisions of this sentence shall also apply to such other eligible entry.

The signed and fully completed Declaration and Release Forms must be returned to: "Get Your Groove Back" Contest - Project Manager, 72 Fraser Avenue, Suite 200, Toronto, Ontario, M6K 3J7.

In the event that a selected entrant is not eligible or cannot be contacted within Five (5) business days of the first attempt, such entrant will be disqualified and the Sponsors shall draw another entrant as the selected entrant from the remaining eligible entries. Sponsors shall be released and discharged from any liability or responsibility in this regard.

The chances of being selected in the Grand Prize Contest draw depend upon the total number of eligible entries received during the Contest Period.

All decisions of the judges are final.

CONSENT TO USE OF PERSONAL INFORMATION

By entering this Contest electronically and voluntarily providing their personal information, entrants consent and agree to the Sponsors' collection, use, and disclosure of the entrant's personal information for the purpose of administering the Contest, including contacting an entrant in relation to the Contest and posting the name of the winner. The Sponsors will not use an entrant's personal information for any other reason, nor will the Sponsors otherwise disclose an entrant's personal information to any third party. See W Network's online Privacy Policy for information on how personal information received is handled in respect of the Contest. Any questions regarding the Privacy Policy and/or treatment of an entrant's personal information should be directed via e-mail to W Network's Privacy Manager, G. Consent to use an entrant's information may be revoked at any time (without cancelling the entrant's participation in the Contest or impairing the entrant's chances of winning) by writing to W Network at: 72 Fraser Avenue, Suite 200, Toronto, Ontario, M6K 3J7.

By entering this Contest, each entrant and, by participating in the Grand Prize, the selected entrant's travelling companion, consents to the use of his/her name, city of residence, photograph, voice and/or image for any promotion/publicity and programming purposes, commercial or otherwise, in all media used by the Sponsors, their promoters, advertising and promotional agencies, at any time, without any payment or compensation.

GENERAL CONDITIONS

All Contest entries become the property of the Sponsors and no correspondence will be entered into except with selected entrants and those entrants who request a complete set of Contest Rules and Regulations by sending a self-addressed stamped envelope to: W Network "Get You Groove Back" Contest, 72 Fraser Avenue, Sutie 200, Toronto, Ontario, M6K 3J7.

By participating in this Contest, entrants acknowledge compliance with, and agree to be bound by, these Contest Rules and Regulations, including eligibility requirements. Entrants and, by participating in the Grand Prize, the selected entrant's travelling companion, release and hold harmless the Sponsors, their parent, related and affiliated companies, subsidiaries, members, dealers, advertisers, franchisees, promotional agencies and each of their respective directors, successors, sponsors, partners, licensees, officers, subsidiaries, agents, employees, advisors, assignees, and all others associated with the development and execution of the Contest, from and against any and all manner of action, causes of action, suits, debts, covenants, contracts, claims and demands, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and fundamental breach and liability for physical injury, personal injury, death, or property damage which an entrant or his/her administrators, heirs, successors or assigns might have or could have, by reason of or arising out of an entrant's participation in the Contest and/or in connection with the awarding, use and/or misuse by an entrant of the Grand Prize Package awarded. Selected entrant and his/her travelling companion will be required to sign an official Declaration and Release Form and Companion Release Form, as applicable, to this effect, in order for the selected entrant to be declared a winner.

The Sponsors are not responsible for incorrect or inaccurate entry of registration or entry information which may affect a person's ability to participate in the Contest, including but not limited to human error, technical malfunctions, lost, delayed or corrupted data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software or any combination thereof, any inability to access the site, or damage to a user's system occasioned by participating in, or viewing materials related to, the Contest, and entries which fail to fully comply with these Contest Rules and Regulations.

In the event of a dispute regarding any entry, the entry is deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e. the person who is assigned to an e-mail address by an internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domains associated with the submitted e-mail address).

No responsibility will be taken by the Sponsors for lost, delayed, mutilated or misdirected entries or Declaration and Release forms, or computer system failure (including e-mail). No responsibility will be taken for any failure of the website during the Contest or for any problems or technical malfunction of a telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail, on-line, or Internet entry to be received by W Network on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer or property related to or resulting from playing or downloading any material in the promotion. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, the Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Entries are subject to verification and will be declared invalid if they are forged, falsified, altered or tampered with in any way.

For residents of the Province of Quebec: Any litigation respecting the conduct or organizing of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux (the "Régie") for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties to reach a settlement.

Sponsors reserve the right (subject to the approval of the Régie, if required, in respect of the Province of Quebec) to suspend, modify or terminate this Contest or these Contest Rules and Regulations at any time, for any reason, without any prior notice.

The Contest is subject to all applicable Federal, Provincial, Territorial and Municipal laws and is void where prohibited.
